This subject provides students with an understanding of business structures in Australia. The focus is on companies and the laws relating to them under the Corporations Act. The subject covers an in-depth analysis of corporate law from the incorporation of a company through to the winding up of insolvent companies. It includes the study of corporate personality, various types of companies, company constitution and replaceable rules, company contracts, relationships with internal management and company outsiders, management of companies, duties of directors and senior management, corporate governance, shareholders’ rights and obligations, and external administration.
